GENERAL CONTRACT TERMS

1. Information prior to the contractual process

The General Contract Terms regulate the distance selling relationship between JENUAN DISEÑO Y MODA TEXTIL, S.L. and the user or customer pursuant to all legal provisions, particularly Spanish Law 7/1998, of 13 April, on General Contract Terms, Spanish Law 3/2014, of 27 March, which modifies the reworded text of Spanish General Law on Consumer and User Defence, Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016, Spanish Law 7/1996, of 15 January, on the Retail Trade System, and Spanish Law 34/2002, of 11 July, on Information Society and E-Commerce Services.

JENUAN DISEÑO Y MODA TEXTIL, S.L. reserves the right to make any modifications to the General Terms it deems appropriate without prior notification. These modifications may be made through its websites in any manner acceptable in law and shall be binding as long as they are published at the website and until they are validly modified by other subsequent changes. Nonetheless, JENUAN DISEÑO Y MODA TEXTIL, S.L. hereby reserves the right to apply Special Contract Terms in certain cases with preference over these General Terms when it deems appropriate, announcing such circumstance in due time and form.

The term of the contract shall be linked to the delivery of the product without prejudice to the right to withdraw.

As the user or customer, you hereby expressly declare that you are aware of, understand and agree to the conditions of use and these general contract terms. Likewise, you hereby declare that you are of legal age and have the necessary legal capacity to access JENUAN DISEÑO Y MODA TEXTIL, S.L. websites and contract through them.

You may go to the corresponding section of our online shop to purchase our products.

It is essential to register as a website user in order to buy online. You may access the corresponding section to register with the website. Pursuant to the provisions of current Personal Data Protection regulations, JENUAN DISEÑO Y MODA TEXTIL, S..L hereby informs users that the personal data collected during the registration and subsequent buying process will be included in the processing system owned by JENUAN DISEÑO Y MODA TEXTIL, S.L. in order to process such actions by the user and manage later actions deriving from them.

You are liable for keeping your username and password obtained upon registering as a customer confidential and shall not disclose them to any third party. You may modify the information registered at any time in your customer area. You shall have access to your order history in this same section. It is simply a consultation section, but may be managed as the user may delete any records they no longer wish to view.

Upon completing the buying process, the customer will receive order confirmation by email. The user must indicate a valid email address during the buying process. All website content is in Spanish and English.

Upon receiving the product at the delivery address provided, the customer will receive an invoice or copy of the order.

2. Special offers and validity

If there is a special offer on a product, the special offer price and validity of the offer will always be indicated next to the essential features.

In compliance with current regulations, JENUAN DISEÑO Y MODA TEXTIL, S.L. offers information on all of its items for sale, their features and prices. Nonetheless, JENUAN DISEÑO Y MODA TEXTIL SL hereby reserves the right to withdraw, replace or change the products offered via its website by simply changing the content thereof. Thus, the products offered at any given time on the website shall be governed by the General Contract Terms in effect in each case. Moreover, the company shall have the right to no longer offer access to the products mentioned without prior notice at any time.

3. Essential features of the products

The products offered at our online shop include a photograph and the essential features thereof which is information obtained from the manufacturer. The colour of the product observed in the photographs is not binding. It is identified in the features.

4. Guarantees

JENUAN DISEÑO Y MODA TEXTIL SL will correct any non-conformity in any of the products offered on the website within 15 days after delivery. JENUAN DISEÑO Y MODA TEXTIL SL has an after-sale service. For the period indicated, the customer address JENUAN DISEÑO Y MODA TEXTIL, S.L. through its after-sale service by sending an email to info@spgwoman.com or as established by the supplier. 5. Prices

All of the products indicate the retail price in euros. They do not include Value Added Tax (VAT). If any other tax is applicable, such circumstance will be indicated [IGIC (Canary Islands sales tax) or IPSI (Ceuta and Melilla production, services and import tax)].

6. Shipping

6.1 To Spain and Portugal

a) Shipping to Spain (peninsula):

Orders will be delivered within 1-3 working days, since SPG Woman confirms the availability of the items ordered, depending on the stock available at the warehouse orthe restocking process.

The delivery is free for orders equal or higher than 350€. I.V.A not included. In case the amount is lower, the shipping cost is 7€.

b) Shipping to Canary Islands:

Orders will be delivered within 3-5 working days, since SPG Woman confirms the availability of the items ordered.

The shipping cost varies depending on the parcel’s weight: From a 14€ cost for 4kg, to a 66€ cost for 30 kg. IGIC and fees not included.

c) Shipping to Portugal:

Orders will be delivered within 1-3 working days, since SPG Woman confirms the availability of the items ordered.

Orders are dispatched from our distribution centre in Portugal. The delivery is free for orders equal or higher than 250€. VAT not included. In case the amount is lower, the shipping cost is 4€.

6.2 To Europe

a) Shipping to Andorra, France, Belgium, The Netherlands, Italy, Germany, Ireland:

Orders will be delivered within 2-5 working days, since SPG Woman confirms the availability of the items ordered, depending on the stock available at the warehouse or the restocking process.

The delivery is free for orders equal or higher than 500€. Fees and/or VAT not included. In case the amount is lower, the shipping cost is 22€.

b) Shipping to Norway and Estonia:

Orders will be delivered within 7-9 working days, since SPG Woman confirms the availability of the items ordered.

For orders equal or lower than 1.200€, the shipping cost is 55€. For orders within 1.201€ and 2.100€, the shipping cost is 16€. The delivery is free for orders equal or higher than 2.101€. Fees and/or VAT not included.

c) EShipping to Iceland:

Orders will be delivered within 7-9 working days, since SPG Woman confirms the availability of the items ordered.

For orders equal or lower than 1.150€, the shipping cost is 90€. For orders within 1.151€ and 2.350€, the shipping cost is 35€. The delivery is free for orders equal or higher than 2.351€. Fees and/or VAT not included.

6.3 To other countries:

The shipping cost and the delivery date of the order will be determined before placing the order.

6.4 Shipping conditions

The shipment of products purchased at SPG Woman is carried out by an external delivery company. Delivery dates might vary for orders placed during high season, sales and areas with special custom regulations and procedures.

In case any of the items ordered is not delivered, it won’t be charged nor included on the invoice. In case customers choose financed payment as a payment method, it will be subject to the approval by the Department of Risks.

In no case will the order be stored for more than 30 daysfrom the requested date of delivery of the order unless explicitly agreed with the customer and in writing and with the obligation to acquire the items at the end of the aforementioned period.

It is understood that the order has been delivered at the moment a physical delivery note is signed to confirm its receipt on the agreed delivery address.

In order to avoid any delivery incidents (such as wrong addresses, absence of the recipient, etc.), it is indispensable to fill the purchase form properly, and it is advisable to provide a contact telephone number where required. Parcels can be tracked through our delivery company’s website.

SPG Woman reserves the right of admission and acceptance of the orders received, which must be authorized by the commercial managers before processing and / or shipping.

7. Changes and returns

Returns will only be accepted in case of manufacturing defects, provided that the customer contacts the company within 7 calendar days after the date of receipt of the items, and as long as they have not been used and / or damaged. An item is considered to be defective only when the defect already exists before its sale. If such period is exceeded, no returns will be accepted. In the aforementioned period, the customer must specify the reason for the return, providing a photograph of the defective item. Our Quality Department will examine the item and we will confirm the most suitable pick up method.

IMPORTANT:

Please do not deliver returns through our commercial network as they will not be accepted, always contact the sales department.

SPG Woman is not responsible for mistakes that customers might make processing orders.

7. Payment methods and order processing

Customers can choose from the following payment methods to pay for their order. During the purchase process their choice must be indicated:

8.1.Credit card

Every operation that involves the exchange of personal or bank data is processed in a secure environment, using the standard security technology SSL (Secure Sockets Layer). All the information provided by our customers is encrypted and travels securely across the network.

The payment via credit card will be processed by phone externally from our website.

Credit card data are directly introduced on the payment terminal and are not introduced nor registered in any server of JENUAN DISEÑO Y MODA TEXTIL, S.L.

To pay via credit card customers will be requested the following data: card number, card expiration date, and a Validation Code that matches the last three digits in italics after the card number on the back of the MASTERCARD or VISA card, thus offering more guarantees regarding the safety of the transaction.

If the amount of a purchase is unlawfully or erroneously charged using the number of a payment card, its owner can demand the immediate cancellation of the charge. In such case, the related debit and re-credit entries on the accounts of the supplier and the owner will be effective as soon as possible.

However, if the purchase had actually been carried out by the owner of the card, and the refund request wasn’t a consecuence of applying the right of dismissal or resolution, and therefore the owner had unfairly requested the cancellation of such charge, he will be required to reimburse JENUAN DISEÑO Y MODA TEXTIL, SL for any harm caused as a consecuence of such cancellation

8.2. Bank transfer

Customers will be provided the IBAN number needed to make the bank transfer. Once the bank transfer has been effective, we will process the order on our warehouse.

8.3. Financed payment

Customers can pay for their order with instalments, depending on the amount of purchase. The financed payment is subject to the approval by the Department of Risks.

The availability of the products offered by JENUAN DISEÑO Y MODA TEXTIL, SL. may vary subject to customers’ demand. Although JENUAN DISEÑO Y MODA TEXTIL, SL. restocks regularly, the product requested by the customer might be sold out at the moment. In such case, JENUAN DISEÑO Y MODA TEXTIL SL. will notify the customer via email. The notification period will never exceed a maximum of 30 days.

9. Jurisdiction

Moreover, JENUAN DISEÑO Y MODA TEXTIL, S.L. hereby reserves the right to file any civil or criminal lawsuits deemed appropriate for improper use of its website and the content or for a breach of these terms.

The relationship between the user and provider shall be governed by current and applicable law in Spain. If any dispute arises between the parties, they may submit their conflicts to arbitration or the ordinary courts, complying with the corresponding jurisdiction and competence rules. 10. Right of withdrawal

In accordance with the regulations in force in Protection of Personal Data, we inform you that your data will be included in the processing system owned by JENUAN DISEÑO Y MODA TEXTIL S.L. with CIF B65023483 and registered office located in C / Alemanya, 49, 08917, Badalona (Barcelona), in order to facilitate the exercise of the right of withdrawal under the provisions of Spanish Law 3/2014, dated 27 March, which amends the rewritten text of the Spanish General Law for the Protection of Consumers and Users and other complementary laws, approved by the Spanish Royal Legislative Decree 1/2007, dated 16 November.

In compliance with current regulations, JENUAN DISEÑO Y MODA TEXTIL, S.L. hereby informs that the data will be kept for the period strictly necessary to comply with the aforementioned precepts.

We inform you that the processing of your personal data is legitimised by your consent and/or your contractual relationship with us.

JENUAN DISEÑO Y MODA TEXTIL, S.L. informs that it will proceed to treat the data in a lawful, loyal, transparent, adequate, pertinent, limited, exact and updated way. That is why JENUAN DISEÑO Y MODA TEXTIL, S.L. undertakes to take all reasonable measures so that these are removed or rectified without delay when inaccurate.

In accordance with the rights conferred by the current regulations on data protection may exercise the rights of access, rectification, limitation of treatment, deletion, portability and opposition to the processing of their personal data and consent given for the treatment of them, directing your request to the postal address indicated above or to the email info@spgwoman.com

Sending this form implies the formalisation of your right of withdrawal and therefore, the cancellation of the obligation to perform the contract concluded between the parties. Once your request is processed, JENUAN DISEÑO Y MODA TEXTIL, S.L. will send an acknowledgement of receipt through the communication channel specified by you on the aforementioned form. Please remember that you must keep it as proof of the exercise of your right of withdrawal.

You can address the competent supervisory authority to lodge the complaint you deem appropiate.
